By using our services, software, app and website (collectively referred to as the “The Platform”), you are agreeing to be bound by the following terms and conditions (“Terms”).

Our Services offer features like commenting, sharing, image thumbnails, document previews, optical character recognition (OCR), and more. By using our Services, you grant us permission to perform these actions, extending this permission to our affiliates and trusted third parties.
Your Responsibilities
You must comply with our Acceptable Use Policy. Respect the intellectual property rights of others when using our Services. We may review your conduct for compliance, but we are not responsible for user-generated content.
Protect your account credentials and keep your account information updated. Your use of our Services must comply with applicable laws, including export control laws and regulations. The minimum age for using our Services is 13 in the United States and 16 elsewhere, subject to local laws.
Software Use
Our Services may require downloading client software (“Software”), which may update automatically. Provided you comply with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to use the Software to access the Services.
Beta Services
We may offer products and features in testing phases (“Beta Services”). These are less stable than our regular services and are provided for feedback purposes. Using Beta Services indicates your agreement to confidentiality and to providing feedback.

Deepervault respects intellectual property rights. We respond to valid copyright infringement notices. Our Services, including trademarks and logos, are protected by copyright and trademark laws.
Paid Accounts
Billing for Paid Accounts is automatic, and you are responsible for all applicable taxes. Cancellation policies and changes to fees are subject to specific terms outlined in these Terms.
Dispute Resolution
Any disputes should first be attempted to be resolved informally. If unresolved, disputes will be subject to arbitration or legal proceedings in specified jurisdictions, with certain exceptions and conditions.
Service Limitations and Liability
Our Services are provided “AS IS,” and we disclaim certain warranties to the extent permitted by law. Our liability is limited under specific conditions, as detailed in these Terms.
Supplemental Terms for Specific Products
Certain Deepervault Products may be governed by additional terms. When you use these specific Products, you will have the opportunity to agree to supplemental terms, which then become part of our agreement with you.
For example, if you engage in commercial activities through our Products (like purchasing ads, selling goods, developing applications, managing a business group or page, or using our analytical services), you will need to agree to our Commercial Terms. Usage of content involving music must comply with our Music Guidelines.
Additionally, if you have a subscription that includes no ads, our No Ads Terms will apply. In cases where supplemental terms conflict with these primary Terms, the supplemental ones will take precedence to the extent of the conflict.
Enforceability and Amendments
If any part of these Terms is deemed unenforceable, we will modify it to the minimum extent necessary for enforceability. If it cannot be made enforceable, it will be excluded, with the remainder of the Terms remaining effective.
Our failure to enforce any of these Terms does not constitute a waiver. Amendments or waivers to these Terms must be in written form and signed by Deepervault.
Transfer of Rights
You cannot transfer any of your rights or obligations under these Terms to another party without Deepervault’s consent.
Legacy Contact and Account Memorialization
You may designate a legacy contact to manage your account in the event of memorialization. Access to your account information, in this case, will be limited to your legacy contact or a person identified in a legally valid document (like a will), which explicitly allows disclosure of your content upon your death or incapacity.
Third-Party Beneficiary Rights
These Terms do not grant rights to any third-party beneficiaries. All of our rights and obligations under these Terms can be assigned by Deepervault in the event of a merger, acquisition, sale of assets, by law, or otherwise.
Username Changes
In certain circumstances, such as a dispute over a username that is not clearly related to your everyday name, we may need to change your account username.
Feedback and Suggestions
We value and welcome your feedback and suggestions about our Products and Services. However, by providing feedback, you agree that we may use your suggestions without restriction, obligation for compensation, or the need to maintain confidentiality.
Changes in Ownership
Should the ownership or control of all or part of our Products or their assets change, your information may be transferred to the new owner.
Governing Law and Entire Agreement
These Terms are governed by UK law, except where local consumer laws apply. These Terms constitute the entire agreement between you and Deepervault.

We may revise these Terms to reflect changes in the law or our Services. Continued use of the Services after changes indicates your acceptance of the new Terms.
This document constitutes the entire agreement between you and Deepervault. It supersedes any previous agreements regarding your use of our Products and Services.
